1. Service Description
SmartFenek (“we”, “our”, “the Platform”) provides UAE businesses with tools to comply with Federal Decree-Law No. 11 of 2024 on GHG emissions reporting and the UAE Ministry of Finance e-invoicing mandate (Ministerial Decisions 243 & 244 of 2025). The Platform is operated by GreenShift Advisory FZE LLC, a company registered under SHAMS (Sharjah Media City Free Zone), License No. BC-890491, 26th Floor, Amber Gem Tower, Ajman. By using SmartFenek, you agree to these Terms.
2. User Obligations
You agree to: provide accurate company and emissions data; maintain the confidentiality of your account credentials; use the Platform only for lawful purposes in accordance with UAE federal and emirate-level law; and not attempt to reverse-engineer, copy, or resell the Platform.
3. Subscription and Payment
SmartFenek operates on a monthly subscription model. Fees are charged in advance. No refunds are issued for partial months once access has been used. You may cancel at any time and will retain access until the end of the current billing period. Pricing is listed at /pricing.
4. Compliance Disclaimer
SmartFenek is a software tool designed to assist with regulatory compliance. It is not a substitute for professional legal, tax, or environmental advice. We do not guarantee that use of the Platform ensures full regulatory compliance. You remain solely responsible for your submissions to MOCCAE, the FTA, or any other regulatory body.
AI-generated outputs (including emissions extraction, invoice OCR, and chat responses) may contain errors. You must verify all AI outputs before regulatory submission. SmartFenek is not liable for decisions made based on unverified AI output.
5. Data and Privacy
Your data is governed by our Privacy Policy. Core application data is stored on infrastructure hosted in Dubai, UAE. You retain ownership of all data you upload. We do not sell your data to third parties.
6. Limitation of Liability
To the maximum extent permitted by UAE law, SmartFenek shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform, including regulatory fines, penalties, or data loss. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.
7. Termination
We reserve the right to suspend or terminate accounts that violate these Terms. You may terminate your account at any time by contacting support@smart-fenek.ae.
8. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
9. Changes
We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated by email.
10. E-Invoicing Readiness
E-Invoicing Readiness is not currently available as a subscription product. When E-Invoicing Readiness launches (targeted late 2026), these Terms of Service will be updated to include applicable product-specific terms. Join the waitlist at /e-invoicing.
11. Regulatory Scope and User Responsibility
SmartFenek provides software tools and advisory services to help businesses prepare emissions reports and structured invoice data. SmartFenek does not determine whether any specific user is legally obligated to comply with UAE Federal Decree-Law No. 11 of 2024, Cabinet Resolution 67/2024, Ministerial Decisions 243/244 of 2025, or any other regulation. Users remain responsible for determining their own regulatory obligations and for ensuring timely and accurate submissions to the relevant UAE authorities. SmartFenek does not provide legal advice. Users should consult qualified UAE legal counsel for questions about their specific compliance obligations.
